Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Beacon Automator (“the App”), an application operated by Beacon Software (“Beacon,” “we,” “us,” or “our”) that automatically creates, manages, and optimizes advertising on Meta platforms (Facebook and Instagram) on behalf of Beacon’s portfolio companies. By connecting a Meta account or otherwise using the App, you agree to these Terms. If you do not agree, do not use the App.

The service

The App connects to Meta’s Marketing API to manage advertising campaigns for Beacon portfolio companies, including creating, editing, scheduling, budgeting, optimizing, and reporting on ads. The App acts on the Meta accounts you authorize and only to the extent of the permissions you grant.

Eligibility and authority

By using the App, you represent that you are authorized to act on behalf of the relevant business and that you have the right to connect the Meta accounts, Business Managers, ad accounts, and Pages you connect, and to authorize the App to manage advertising on them. You are responsible for maintaining the confidentiality of your access and for all activity that occurs through your connected accounts.

Compliance with Meta and other policies

Your use of the App in connection with Meta is also subject to Meta’s terms and policies, including the Meta Platform Terms, the Meta Advertising Policies, and the applicable Meta developer and community standards. You agree to comply with those policies, and you acknowledge that Meta may change, suspend, or restrict API access at any time, which may affect the App. Beacon is not responsible for actions Meta takes with respect to your account.

Acceptable use

You agree not to use the App to:

  • Violate any applicable law, regulation, or third-party right, including Meta’s policies.
  • Run advertising that is deceptive, fraudulent, infringing, or otherwise prohibited by Meta.
  • Attempt to gain unauthorized access to the App, other users’ accounts, or Beacon’s systems.
  • Interfere with, disrupt, reverse engineer, or place unreasonable load on the App or its infrastructure.
  • Use the App to access accounts or data you are not authorized to manage.

Advertising spend and results

The App manages advertising that incurs real costs charged by Meta to the connected ad accounts. You are responsible for the budgets, spend, and payment arrangements on those accounts. While the App is designed to help optimize campaigns, we do not guarantee any particular advertising outcome, reach, conversion, or return on spend.

Intellectual property

The App, including its software, design, and content (excluding your data and Meta’s data), is owned by Beacon and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to use the App for its intended purpose. You retain rights to the advertising content and data you provide.

Disclaimer of warranties

The App is provided “as is” and “as available,” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the App will be uninterrupted, error-free, or secure, or that it will always be compatible with Meta’s APIs.

Limitation of liability

To the maximum extent permitted by law, Beacon and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or advertising spend, arising out of or related to your use of the App, even if advised of the possibility of such damages. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You agree to indemnify and hold harmless Beacon and its affiliates from any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the App, your violation of these Terms, or your violation of any law or third-party right, including Meta’s policies.

Suspension and termination

We may suspend or terminate your access to the App at any time, with or without notice, including if we believe you have violated these Terms or Meta’s policies, or to protect the App, its users, or Beacon. You may stop using the App at any time by revoking its access to your Meta accounts. Provisions that by their nature should survive termination will survive.

Changes to the App and these Terms

We may modify the App or these Terms from time to time. When we change these Terms, we will update the effective date above and, where appropriate, provide additional notice. Continued use of the App after a change means you accept the revised Terms.

Governing law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable there, without regard to conflict-of-laws principles. The courts located in Toronto, Ontario will have exclusive jurisdiction over any dispute, subject to any mandatory rights you have under applicable law.
